There's a kind of buyer I run into more and more. Smart, well capitalized, backed by a real team. They get a good business in front of them and then they disappear into the work. Three rounds of diligence. A data room sliced a hundred ways. An AI tool scoring every customer contract and every line of the P&L. Weeks go by. The model gets more detailed and the decision gets further away.

Then someone else buys the company.

I watched this happen for years before I understood it. These buyers aren't doing diligence. They're hiding in it. The spreadsheet became a place to avoid the one thing the job actually requires, which is a decision. They want the data to tell them yes so they never have to say it themselves.

Here's what the old dealmakers knew. The numbers tell you what a business did. They can't tell you what it is, or who the owner really is, or whether you'd bet on this person in a fight. That part is feel. You build it by sitting across from enough operators that you start to recognize the real ones on sight.

AI is going to get very good at the math. It's never going to look someone in the eye and know.

Diligence protects you from a bad deal. It can't make you a good one. The buyers who win in an AI world will be the ones who still trust their own read of a person and act on it before the data gives them permission. Feel isn't the opposite of rigor. It's the part of the job no model can do for you.
