Watch a baseball game now and you can feel what changed. Every hitter is swinging for the fences, chasing launch angle, playing a number some model handed them before the first pitch. Nobody just tries to put the ball in play anymore. The feel got coached out of the game.

The same thing happened to dealmaking.

I get on calls with buyers who all sound identical. Same pitch, same opening line. "We have capital and we'd love to buy your business." Ten years ago that was enough to open a door. Today it opens nothing. Every fund, every family office, every sponsor is sitting on dry powder, saying the same sentence to the same handful of owners.

Capital used to be the edge. Now it's just the price of admission.

The buyers winning deals are answering a different question. Not "do you have the money." Everyone has the money. They can say who they are, why they're the right home for the business, and what happens to the thing an owner spent his life building after the wire clears. Then they move. They don't re-diligence every line item to death looking for a reason to walk. They use some feel. They have some conviction.
